About the Lunch and Learn
Kilpatrick Townsend & Stockton LLP partner Siegmar Pohl, Ph.D., explains the basics of structuring stock options for startups, highlighting the trade-offs from the perspective of the founder, investor, startup employee.
Siegmar will also discuss what happens for stock options holders in the event of a separation from the company. There will be an open Q&A available for all attendees. Register here.

About the Speakers
Ryu Fukuyama, Associate, Kilpatrick Townsend & Stockton, LLP, San Francisco, CA
Ryu Fukuyama is an associate at Kilpatrick Townsend & Stockton LLP, a multi-practice international law firm. Ryu obtained his LL.B. from Waseda University, Tokyo, Japan in 2013 and his J.D. from Santa Clara University School of Law in 2016.
Ryu focuses his practice on advising entrepreneurs and emerging growth companies through all stages of their lifecycle, including formation, financings, and exit transactions, as well as day-to-day operational matters such as employment and consulting agreements, commercial contracts, and incentive compensation for service providers and employees. He also assists venture capital investors in financing transactions.
In addition, a significant part of Ryu’s practice consists of advising companies on mergers and acquisitions and joint ventures, including cross-border transactions.
Ryu is fluent in Japanese.

Siegmar Pohl is a partner at Kilpatrick Townsend & Stockton LLP, a multi-practice international law firm. Siegmar obtained his Ph.D. from Rheinische Friedrich-Wilhelms-Universität Bonn, Bonn, Germany and his J.D. from Universität Trier, Trier.
With over two decades of experience, Siegmar focuses his practice on cross-border M&A and complex intellectual property (IP) transactions. He frequently represents clients regarding strategic investments and corporate venture capital, including when paired with research and development (R&D) collaborations or joint ventures. Siegmar has a lot of experience in working with companies from Europe, Asia, and the United States.
Frequently, clients ask Siegmar to advise them on minimizing their liability risks when launching technology products and when entering the U.S. market. Siegmar regularly holds workshops and training sessions for board members and managers, coaching them on their duties, liabilities, and corporate governance issues. He is also a frequent speaker at international conferences and workshops.

Heather Preston is a partner at Kilpatrick Townsend & Stockton LLP, a multi-practice international law firm. Heather obtained her B.S. from Pennsylvania State University and her J.D. from University of Mississippi School of Law.
Heather Preston focuses her practice on federal tax matters involving joint ventures, fund formation, and mergers and acquisitions. She has significant experience representing real estate investment trusts (REITs), relating to their formation, acquisitions and divestitures. Heather also advises and counsels clients on tax issues associated with executive deferred compensation plans for both taxable and tax exempt entities and executive incentive and stock based compensation plans.
